Terms of Service

By accessing or using Brandlix ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. Brandlix is operated by Fresh Wave Trading L.L.C, Office 201-A-13, R118, Al Suq Al Kabeer, 12345 Dubai, United Arab Emirates ("we", "our", or "us").

Brandlix is a social media management platform that allows users to create, schedule, and publish content across multiple social media platforms including Instagram, Facebook, LinkedIn, TikTok, X (Twitter), and Pinterest. The Service includes AI-powered content generation, analytics, and scheduling tools.

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use the Service
• One person or entity may not maintain more than one free account
• You are responsible for all activity that occurs under your account

By connecting your social media accounts to Brandlix, you authorize us to access and interact with those accounts on your behalf. This includes publishing posts, retrieving analytics, and managing content. You may disconnect your social media accounts at any time through your account settings.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Publish spam, misleading, or harmful content
• Infringe on the intellectual property rights of others
• Distribute malware or engage in phishing
• Circumvent rate limits or abuse the platform APIs
• Violate the terms of service of connected social media platforms

Brandlix offers AI-powered content generation features. You are solely responsible for reviewing and approving any AI-generated content before publishing. We do not guarantee the accuracy, appropriateness, or originality of AI-generated content. You retain full responsibility for all content published through the Service.

• Free accounts are subject to usage limits as described on our pricing page
• Paid subscriptions are billed monthly or annually via Stripe
• You may cancel your subscription at any time through your account settings
• Refunds are handled on a case-by-case basis within 14 days of purchase
• We reserve the right to change pricing with 30 days advance notice

You retain ownership of all content you create and publish through Brandlix. By using the Service, you grant us a limited license to store and process your content solely for the purpose of providing the Service. We do not claim ownership over your content.

Brandlix is provided "as is" without warranty of any kind. We are not liable for any indirect, incidental, or consequential damages arising from the use of the Service. This includes, but is not limited to, failed or delayed post publishing, loss of data, or disruptions to connected social media accounts. In no event shall our total aggregate liability exceed the lesser of (a) the amounts paid by you in the 12 months preceding the claim, or (b) USD $100. We are not liable for any loss of profits, revenue, data, or business opportunities. We are not liable for actions taken by social media platforms on your accounts. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your data will be permanently deleted within 30 days in accordance with our Privacy Policy.

• Users are solely responsible for all content they create, upload, schedule, or publish through Brandlix
• We are a platform and tool provider only - we do not review, endorse, or take responsibility for user content
• We are not liable for any copyright infringement, defamation, or legal violations in user content
• Users must ensure they have the rights to all images, videos, and text they upload
• AI-generated content is provided as-is - users must review all content before publishing
• We are not responsible for content that violates platform guidelines of connected social networks
• Any consequences from published content (account bans, legal claims, fines) are the user's sole responsibility

• Users confirm they own or have proper licenses for all media uploaded to the platform
• We store media temporarily for the purpose of scheduling and publishing only
• Generated media (AI images, videos) are automatically deleted after 30 days
• We are not liable for any claims related to AI-generated imagery including likeness, trademark, or copyright claims
• Users must not upload illegal, harmful, or explicit content
• We are not liable for the use of music, audio tracks, or sound snippets in user-uploaded, AI-generated, or scheduled content. Users are solely responsible for obtaining all required licenses, rights, and clearances (e.g. GEMA, PRS, ASCAP, sync rights, master rights) for any music included in their posts, videos, reels, or stories.
• Users must verify themselves, prior to publishing, whether the use of a specific music track is legally permitted in their country and on the target platform. This applies in particular to TikTok, Instagram Reels, Facebook Reels, and YouTube Shorts: music from the platform's own native music library is often licensed only for personal/private accounts and NOT for commercial or business accounts. Geographic restrictions, collecting societies, and licensing terms can differ significantly by country. Violations may result in content muting, reach throttling, account suspension, or legal consequences - Brandlix accepts no liability whatsoever for such outcomes.

• We use AI (Anthropic Claude, Google Gemini) to provide content generation, analytics insights, and automated features
• By using AI features, you consent to your content prompts being processed by third-party AI providers
• We may use anonymized and aggregated usage patterns to improve our AI features and service quality
• AI outputs are suggestions only - not professional advice (marketing, legal, financial, or otherwise)
• We do not guarantee AI availability, accuracy, or consistency of results

We reserve the right to suspend or permanently terminate any account at our sole discretion, with or without notice, for any of the following reasons:

• Violation of these Terms of Service
• Violation of any connected platform's terms of service
• Abusive, fraudulent, or illegal activity
• Non-payment of subscription fees
• Excessive API usage or system abuse
• Any activity that threatens platform stability or security

Upon termination for cause, no refund will be provided.

We may report illegal activity to relevant authorities.

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not guarantee uninterrupted, error-free, or secure operation
• We are not responsible for failures caused by third-party services (social media platforms, payment processors, AI providers, hosting)
• Scheduled posts may fail due to platform API changes, token expiration, or rate limits - we are not liable for failed publications
• We may modify, suspend, or discontinue any feature at any time
• Platform API changes by social networks may affect functionality without prior notice

Users agree to indemnify and hold harmless Fresh Wave Trading L.L.C, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• User's use of the Service
• User's content
• User's violation of these Terms
• User's violation of any third-party rights

Brandlix offers several automated features that operate without manual review. By enabling these features, you accept full responsibility for their output and consequences.

Autopilot

• The Autopilot feature automatically generates and publishes social media content on your behalf without manual review (unless configured otherwise)
• You are solely responsible for all content published by Autopilot, including AI-generated text and scheduling decisions
• We do not guarantee that Autopilot content will be appropriate, accurate, or compliant with platform guidelines
• Enabling auto-publish mode means content goes live without your explicit approval - use at your own risk

Auto-Reply

• The Auto-Reply feature automatically responds to incoming messages on your connected social media accounts
• Automated replies are generated by AI and may contain inaccurate, inappropriate, or contextually wrong responses
• You are solely responsible for all messages sent on your behalf, including automated replies
• We are not liable for any business loss, relationship damage, or legal consequences resulting from automated replies

A/B Testing

• A/B Testing publishes multiple content variants simultaneously to your audience
• The automatic winner selection is based on engagement metrics and may not align with your brand strategy
• You are responsible for reviewing all variants before the test begins

Scheduling & Publishing

• Scheduled posts may fail due to token expiration, platform API changes, rate limits, or service outages
• We make reasonable efforts to publish scheduled content but do not guarantee successful delivery
• Failed posts are not automatically retried beyond our standard retry mechanism (3 attempts)
• We are not liable for missed publishing windows, time-sensitive content that fails to post, or duplicate publications

Bulk Actions & Planner

• The Planner feature can create and schedule large numbers of posts simultaneously
• Errors in bulk operations may affect multiple posts at once - review all planned content carefully before execution
• We are not liable for unintended mass-publications or scheduling errors in bulk operations

Analytics & Reporting

• Analytics data is retrieved from third-party platform APIs and may be delayed, incomplete, or inaccurate
• We do not guarantee the accuracy of any metrics, statistics, or performance reports
• Business decisions based on analytics data are made at your own risk

Credits & Usage

• AI and media credits are non-refundable once consumed
• Unused credits expire at the end of each billing cycle and do not carry over (except bonus credits)
• Credit costs per action may change with 30 days advance notice
• Failed AI or media generation attempts are refunded automatically, but we do not guarantee refund processing

Third-Party Platforms & Tokens

• By connecting social media accounts, you grant us OAuth access tokens to act on your behalf
• We are not responsible for account suspensions, bans, or restrictions imposed by social media platforms as a result of content published through our Service
• Platform API changes may cause features to stop working without prior notice - we will make reasonable efforts to adapt but do not guarantee uninterrupted service
• We are not liable for unauthorized access to your social media accounts caused by security breaches on the platform side
• Token refresh failures may result in disconnected accounts - you are responsible for reconnecting when prompted

Availability & SLA

• We do not provide a Service Level Agreement (SLA) or guarantee any specific uptime percentage
• Maintenance windows may occur without prior notice
• We are not liable for any losses resulting from service downtime, whether planned or unplanned

• Certain features (Virtual Try-On, Canvas AI Assistant) use AI to analyze and process uploaded images, including photos of people
• You confirm that you have obtained consent from any identifiable individuals in uploaded images before processing
• We are not liable for any claims related to likeness rights, personality rights, or right of publicity arising from image processing
• AI image analysis results are approximate and should not be relied upon for critical decisions
• The API (available on BUSINESS plan) is provided for integration purposes - we are not liable for webhook delivery failures, API downtime, or data loss resulting from API usage
• API access may be revoked at any time for misuse, excessive load, or violation of these Terms

Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, or failures of third-party services.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Fresh Wave Trading L.L.C regarding the Service, superseding all prior agreements, representations, and understandings.

No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.

Assignment

We may assign or transfer these Terms, in whole or in part, to any entity (including in connection with a merger, acquisition, or sale of assets) without your consent. You may not assign or transfer your rights under these Terms.

Communication

By creating an account, you consent to receiving service-related communications via email, including but not limited to failure notifications, weekly reports, security alerts, and billing updates. These are not marketing emails and cannot be opted out of while maintaining an active account. You are responsible for keeping your email address current.

Free Tier & Beta Features

Free accounts are subject to feature and usage limitations that may change at any time without notice. Beta or experimental features are provided as-is and may be modified or removed at any time. We are not obligated to maintain, support, or continue offering any free or beta feature.

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates.

For users in the European Union: This choice of jurisdiction does not affect your rights as a consumer under the mandatory consumer protection laws of your country of residence. You may also bring proceedings before the courts of your habitual residence.
